Terms of Service

Please read these terms carefully before using our website or engaging Sprytal for services. Specific project proposals, quotations, statements of work, invoices, or other written agreements may contain additional terms that apply to a particular project. Where there is a conflict, the specific written agreement for that project will generally govern the relevant work.

1. About These Terms

These Terms of Service apply to your use of the Sprytal website and to services provided by Sprytal unless different terms have been agreed with you in writing.

By using this website or engaging us for services, you agree to comply with these terms to the extent they apply to you.

2. Our Services

Sprytal provides website design, website development, website redesign, WordPress development, landing pages, performance and SEO-related improvements, website maintenance, and related digital services.

The exact scope of a project will depend on the proposal, quotation, agreed requirements, and other written communication between Sprytal and the client.

Services or features that are not included in the agreed scope may require a separate quotation or written agreement.

3. Projects & Deliverables

Before work begins, we may agree on the project's scope, deliverables, estimated timeline, required assets, and commercial terms.

Project timelines are estimates unless a specific deadline has been expressly agreed in writing. Delays caused by missing information, approvals, content, access, feedback, third-party services, or other circumstances outside our reasonable control may affect the delivery timeline.

Deliverables are considered complete when they substantially match the agreed project scope. Requests outside that scope may be treated as additional work.

4. Client Responsibilities

To help a project move forward, clients are responsible for providing accurate information, required content, approvals, credentials, and other materials reasonably needed for the work.

Clients should also ensure that:

  • They have the right to provide any content, images, logos, trademarks, or other materials supplied to us.
  • Information provided for the project is accurate and not knowingly misleading or unlawful.
  • Feedback and approvals are provided within a reasonable time.
  • Access credentials shared with us are accurate and can legally be used for the requested work.

We are not responsible for delays or problems caused by inaccurate information, unavailable access, missing materials, or delayed client decisions.

5. Fees & Payments

Project fees, deposits, payment schedules, and recurring maintenance fees will be communicated in the applicable quotation, proposal, invoice, or written agreement.

Unless otherwise agreed in writing, work may be paused if an agreed payment becomes overdue. Any resulting delay may affect the project timeline.

Third-party costs such as domain registration, hosting, premium software, paid plugins, stock assets, email services, or other external services are not automatically included unless specifically stated in the agreed scope.

6. Revisions & Changes

Where revisions are included in a project, they should remain reasonably related to the agreed scope and original direction.

Significant changes to the agreed requirements, design direction, functionality, page count, integrations, or technical approach may require additional time and fees.

We will aim to communicate material scope changes before carrying out additional work.

7. Third-Party Services

Websites may depend on services operated by third parties, including hosting providers, domain registrars, WordPress plugins, analytics platforms, payment providers, email platforms, APIs, and other software.

We may configure or integrate such services as part of a project, but their availability, pricing, policies, security, and continued operation are controlled by their respective providers.

Clients are responsible for maintaining accounts and subscriptions that are registered in their own name unless otherwise agreed.

8. Intellectual Property

Ownership and usage rights for project-specific deliverables will depend on the agreed project terms and payment status.

Unless otherwise agreed, clients retain responsibility for the rights to content, logos, images, trademarks, copy, and other materials they provide to us.

We may use our own pre-existing tools, methods, code components, frameworks, libraries, templates, or know-how when delivering services. These underlying materials do not automatically become exclusive client property unless expressly agreed otherwise.

Portfolio use

Unless a client asks us in writing to keep a project confidential, we may reference completed work in our portfolio, proposals, case studies, or marketing materials. We will not knowingly disclose confidential information for this purpose.

9. Launch & Website Access

A website may require access to hosting, domain, DNS, CMS, analytics, email, or other third-party accounts before launch. Launch timing can therefore depend on both parties and relevant service providers.

After launch, the client is responsible for maintaining third-party subscriptions and account access that are not part of an ongoing Sprytal maintenance arrangement.

If ongoing maintenance is not included, Sprytal is not automatically responsible for future updates, security patches, plugin conflicts, hosting issues, content changes, or other post-launch changes.

10. Termination

Either party may request to end an ongoing project or service arrangement in accordance with any specific written agreement between them.

If a project is ended after work has started, the client remains responsible for agreed fees for work already completed and any approved non-refundable third-party costs incurred for the project.

For recurring maintenance or support services, any notice period or cancellation terms stated in the applicable agreement will apply.

11. Liability

We will provide our services with reasonable care and skill. However, no website, software, hosting environment, or online service can be guaranteed to operate continuously or without errors.

We are not responsible for failures, losses, interruptions, or changes caused by third-party platforms, hosting providers, domain providers, plugins, APIs, internet connectivity, security incidents outside our reasonable control, or client-provided materials and instructions.

Nothing in these terms is intended to exclude or limit liability where doing so would be unlawful or prohibited by applicable law.

Important

This page describes general terms for Sprytal's website and services. A project-specific agreement may contain additional commercial, legal, or technical terms that apply to that engagement.

12. Changes to These Terms

We may update these Terms of Service from time to time to reflect changes to our services, business practices, or legal requirements.

The latest version will be published on this page with the relevant updated date.
